These Terms and Conditions (“Terms”) govern access to and use of the SimpleStay website, applications, services, and marketplace (collectively, the “Platform”). The Platform is operated by Simple Stay ai, Inc., a Delaware corporation (“SimpleStay,” “we,” “us,” or “our”). By creating an account, publishing a listing, making a booking, purchasing a subscription, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Marketplace Role
SimpleStay provides technology that allows accommodation providers, property owners, hotels, managers, and other suppliers (“Hosts”) to publish listings and allows travelers and other customers (“Guests”) to discover and book accommodations. SimpleStay does not own, lease, possess, operate, inspect, manage, or control listed properties unless we expressly state otherwise. Hosts, not SimpleStay, are responsible for their listings, accommodations, services, permits, licenses, safety, habitability, taxes, and compliance with law. A booking creates a contract directly between the Host and Guest. SimpleStay is not a party to that accommodation contract except to the limited extent expressly stated in these Terms.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts. Hosts may impose a higher minimum age where lawful and clearly disclosed. You may not use the Platform if you are prohibited from doing so under applicable law, sanctions, export controls, payment-provider rules, or prior suspension by SimpleStay.
3. Accounts and Authentication
You must provide accurate information and keep it current. You are responsible for activity under your account and for protecting your access credentials. SimpleStay may use OAuth 2.0, Google authentication, passkeys, multi-factor authentication, or other secure authentication methods. You must promptly report suspected unauthorized access. We may require identity, business, property, banking, tax, or other verification. Verification may be performed by third parties, including Stripe.
4. Host Responsibilities
Hosts must:
- have authority to list and offer each accommodation;
- provide complete, accurate, current, and non-misleading listing information;
- disclose prices, taxes, fees, deposits, cancellation terms, house rules, accessibility information, and material restrictions;
- maintain the property in a safe, lawful, and habitable condition;
- obtain required permits, registrations, licenses, insurance, and approvals;
- honor confirmed bookings except where cancellation is permitted by law or policy;
- comply with anti-discrimination, consumer-protection, tax, tourism, housing, health, safety, privacy, and accessibility requirements;
- respond to Guest issues promptly and professionally; and
- avoid requesting payment outside the Platform unless expressly authorized.
Hosts are solely responsible for deciding accommodation refunds, except for duplicate charges, confirmed platform billing errors, or other matters SimpleStay expressly controls.
5. Guest Responsibilities
Guests must provide accurate booking information, pay all disclosed amounts, follow house rules, respect occupancy limits, avoid damage and unlawful conduct, and communicate promptly with the Host. Guests are responsible for their own travel documents, visas, health requirements, transportation, insurance, and suitability decisions.
6. Listings and Ranking
SimpleStay may review, edit, reject, suspend, remove, or require changes to listings to protect users, comply with law, enforce policy, or maintain Platform quality. Search ranking may consider relevance, availability, price, quality, responsiveness, popularity, reviews, cancellation history, commercial arrangements, location, and other signals. We do not guarantee placement, visibility, or booking volume.
7. Bookings
A booking is confirmed when the Platform displays confirmation and payment authorization or collection is completed as required. Hosts must honor confirmed bookings. Guests must review listing details, dates, prices, taxes, fees, cancellation terms, and house rules before booking. We may cancel, reverse, hold, or decline a booking where reasonably necessary for fraud prevention, sanctions compliance, legal obligations, payment failure, security, user protection, or Platform integrity.
8. Prices, Fees, and Subscriptions
Prices, service fees, subscription fees, commissions, and other charges are displayed on the Platform before purchase or acceptance. We may change pricing prospectively. Changes do not alter completed bookings unless required by law or agreed by the affected parties. Subscriptions renew automatically only when disclosed and authorized. Users may cancel future renewal through available account controls or by contacting [email protected] with the subject “Billing Support.”
9. Payments and Stripe
Payments, payouts, refunds, identity verification, and related financial services may be provided by Stripe and its affiliates or other payment providers. By using payment features, you agree to applicable provider terms. Payment providers may collect banking, card, tax, identity, and KYC information directly. SimpleStay generally does not store complete card or bank-account credentials. We may place holds, delay payouts, establish reserves, offset amounts, or reverse transactions where reasonably necessary for refunds, disputes, fraud, chargebacks, legal compliance, negative balances, or provider requirements. Country, currency, payment-method, and payout availability depend on applicable law and payment-provider support and may change.
10. Taxes
Hosts are responsible for determining, registering for, collecting, reporting, and paying taxes arising from their listings, income, occupancy, tourism activity, or business. SimpleStay may calculate, collect, remit, report, or withhold taxes where required by law or agreement. Guests are responsible for taxes and charges disclosed at checkout. SimpleStay does not provide tax advice.
11. Cancellations and Refunds
The cancellation terms displayed for a listing form part of the booking contract. Before check-in, refunds are generally governed by the Host’s cancellation terms and decisions. After a stay begins, accommodation charges are non-refundable except where:
- applicable law requires a refund;
- the Host approves a refund; or
- SimpleStay confirms a duplicate charge or platform billing error.
SimpleStay may facilitate communications and payment adjustments but is not required to override a Host’s lawful refund decision.
12. Reviews
Reviews must reflect genuine experiences and must not be fraudulent, retaliatory, coercive, defamatory, discriminatory, or manipulated. We may remove or limit reviews that violate policy, law, or Platform integrity standards. We do not guarantee that every review is accurate.
13. User Content
You retain ownership of content you submit. You grant SimpleStay a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt, translate, display, distribute, and use that content to operate, market, secure, and improve the Platform. You represent that you have the rights required to submit the content and that it does not violate law or third-party rights.
14. Prohibited Conduct
You may not:
- commit fraud, impersonation, money laundering, sanctions evasion, or payment abuse;
- scrape, crawl, reverse engineer, overload, disrupt, or bypass Platform security;
- upload malware or attempt unauthorized access;
- discriminate unlawfully;
- list illegal, unsafe, unavailable, fictitious, or unauthorized accommodations;
- manipulate reviews, rankings, bookings, prices, referrals, or identity checks;
- solicit off-platform payment to avoid fees or safeguards;
- harass, threaten, exploit, or endanger others;
- use the Platform for trafficking, exploitation, illegal drugs, weapons, or other unlawful activity; or
- infringe intellectual-property, privacy, publicity, or contractual rights.
15. Safety and Emergencies
SimpleStay is not an emergency service. In an emergency, contact local emergency services immediately. Users must evaluate accommodations and interactions using reasonable judgment. We may provide safety tools, verification, or guidance, but do not guarantee identity, conduct, safety, legality, or property condition.
16. Third-Party Services
The Platform may integrate services from Stripe, Google, Vercel, Supabase, communications providers, analytics providers, maps, and other third parties. Their services are governed by their own terms and privacy practices. We are not responsible for third-party systems outside our reasonable control.
17. Suspension and Termination
We may limit, suspend, or terminate access; remove content; cancel transactions; hold payouts; or require additional verification where reasonably necessary to enforce these Terms, protect users, prevent fraud, comply with law, or respond to risk. You may stop using the Platform at any time. Obligations concerning payments, disputes, intellectual property, liability, indemnity, and legal compliance survive termination where applicable.
18. Intellectual Property
The Platform, software, branding, design, databases, and original content are owned by or licensed to SimpleStay and protected by applicable law. No license is granted except the limited right to use the Platform in accordance with these Terms.
19. Disclaimers
To the maximum extent permitted by law, the Platform is provided “as is” and “as available.” SimpleStay disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy. We do not guarantee uninterrupted operation, booking success, Host or Guest conduct, property condition, regulatory compliance, payout timing, exchange rates, or the accuracy of user-provided content. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
20. Limitation of Liability
To the maximum extent permitted by law, SimpleStay will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits; lost data; loss of opportunity; travel costs; property damage; personal disputes; or conduct of Hosts, Guests, or third parties. Where liability cannot be excluded, SimpleStay’s aggregate liability arising from the Platform will not exceed the greater of:
- the fees paid by you directly to SimpleStay during the 12 months preceding the event giving rise to the claim; or
- USD $100.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SimpleStay and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, and expenses arising from your listings, stays, conduct, content, taxes, breach of these Terms, or violation of law or third-party rights.
22. Force Majeure
SimpleStay is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, labor disputes, utility failures, internet outages, cyberattacks, provider failures, or payment-network disruption.
23. Governing Law and Disputes
These Terms are governed by Delaware law, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Before filing a claim, you agree to provide written notice to [email protected] with the subject “Legal Notice” and allow 30 days for informal resolution. Subject to mandatory consumer rights, disputes must be brought in the state or federal courts located in Delaware, and each party consents to jurisdiction there. Nothing in this section limits rights that cannot legally be waived in a user’s country of residence.
24. International Use
The Platform may be available in multiple countries, including supported jurisdictions in Latin America. Availability depends on law, regulation, payment-provider support, technical capacity, risk, and operational readiness. Features, payment methods, payout timing, verification requirements, taxes, disclosures, and consumer rights may vary by location.
25. Language
We may provide translations for convenience. Unless applicable law requires otherwise, the English version controls in the event of conflict.
26. Legal Notices
General legal notices must be sent to [email protected] with the subject “Legal Notice.” Formal service of process must be delivered to our registered agent: Legalinc Corporate Services Inc., 131 Continental Dr., Suite 305, Newark, DE 19713, USA Email is not valid service of process unless required by law or expressly accepted in writing.
27. General Terms
These Terms, together with incorporated policies and booking-specific disclosures, form the entire agreement regarding the Platform. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, reorganization, sale, or transfer of the Platform.
